Interpretation

Words with capitalized initial letters have meanings defined under the following conditions. The same definitions apply whether they appear in singular or plural form.

Definitions

For the purposes of these Terms and Conditions:

  • Application means any software from Equilibrium Ra you install on a device.
  • Application Store means the digital distribution service operated by Apple Inc. (Apple App Store) or Google Inc. (Google Play Store) from which You downloaded the Application.
  • Company (referred to as “the Company”, “We”, “Us”, or “Our”) refers to Equilibrium Ra, operating through the website equilibriumra.com.
  • Account means a unique account created for You to access or use parts of the Service, if applicable.
  • Device means any device that can access the Service such as a smartphone, tablet, or computer.
  • Feedback means feedback, suggestions, or ideas provided by You regarding the Application or Service.
  • In-App Purchase means a product, subscription, or service offered for purchase within the Application.
  • Service refers to the Application and/or the Website (equilibriumra.com), collectively or individually.
  • Subscriptions means access to certain features or content of the Application on a recurring paid basis.
  • Terms and Conditions (also referred to as “Terms”) mean this Agreement governing your use of our Service.
  • Third-Party Social Media Service means any content, service, or functionality provided by a third party and integrated into or accessible through the Service.
  • Website refers to equilibriumra.com.
  • You means the individual accessing or using the Service.

Acknowledgment

These Terms constitute the agreement between You and the Company regarding the use of the Service. By accessing or using the Application or Website, You agree to be bound by these Terms. If You do not agree with any part of these Terms, You must not use the Service.

You represent that You are at least 18 years old. The Company does not permit individuals under 18 to use the Service without parental supervision.

Subscriptions

Subscription Period

Some parts of the Service may be available only through a paid Subscription. You will be billed in advance on a recurring basis (monthly, yearly, or as otherwise specified in the Application).

Subscription Renewal

Unless canceled, your Subscription renews automatically under the same terms.

Cancellation

You may cancel your Subscription at any time through your Application Store account. Payments already processed will not be refunded unless required by law.

Billing

If your Subscription was purchased through an Application Store, all billing and refunds are handled exclusively by that store under its own policies.

In-App Purchases

The Application may offer In-App Purchases such as premium features, content, or Subscriptions. In-App Purchases cannot be transferred, refunded, or redeemed for cash unless required by law.

If an In-App Purchase fails or is defective, We will investigate and may provide a replacement or request a refund on your behalf through the Application Store. All transactions are processed by the Application Store and follow its terms and conditions.

User Accounts

If creating an account is required for certain features: You must provide accurate and current information. You are responsible for safeguarding your password. You must notify Us of any unauthorized use of your account. We may terminate accounts that violate these Terms.

Intellectual Property

All content, features, visuals, design elements, branding (including the Equilibrium Ra identity), and underlying functionality of the Service are the property of the Company and protected by copyright and applicable intellectual property laws. You may not copy, distribute, modify, reverse-engineer, or use any part of the Service without written permission.

User Content & Feedback

You may provide Feedback or suggestions. By submitting Feedback, you grant Us a non-exclusive, royalty-free, perpetual, and transferable license to use, modify, or implement such Feedback without restrictions. We are not responsible for any user-generated content unless required by law.

Prohibited Uses

You agree not to:

  • Use the Service for unlawful purposes
  • Attempt unauthorized access or reverse-engineering
  • Interfere with the functionality or security of the Service
  • Misuse the Service or disrupt other users
  • Use automated tools for scraping, extraction, or data mining

We may suspend or terminate access to the Service for violations.

Availability & Updates

We may update, change, or discontinue parts of the Service at any time. We do not guarantee that the Service will always be available, will be free from errors, or that updates will always be compatible with your Device.

Limitation of Liability

To the fullest extent permitted by law, the Company shall not be liable for any indirect, incidental, or consequential damages; loss of data, revenue, or profits; issues caused by third-party services, store policies, or Device failures. Your sole remedy for dissatisfaction is to stop using the Service.

“As Is” Disclaimer

The Service is provided “As Is” and “As Available”, without warranties of any kind, express or implied.

Links to Other Websites

The Service may contain links to third-party websites or services that are not owned or controlled by the Company. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

Termination

We may terminate or suspend your access without prior notice if You violate these Terms, if We are legally required to do so, or if We discontinue or modify the Service. Upon termination, your right to use the Service ceases immediately.

Governing Law

These Terms are governed by the laws applicable to the Company, excluding conflict of law rules. Your use of the Application may also be subject to other local, state, national, or international laws.

Disputes Resolution

If You have any concern or dispute about the Service, You agree to first try to resolve the dispute informally by contacting the Company.

For European Union (EU) Users

If You are a European Union consumer, you will benefit from any mandatory provisions of the law of the country in which you are resident.

United States Federal Government End Use

The Service is a “Commercial Item” as that term is defined at 48 C.F.R. §2.101. If You are a U.S. federal government end user, the Service is provided only as a Commercial Item with the same rights as all other users.

United States Legal Compliance

You represent and warrant that You are not located in a country subject to a U.S. government embargo or designated as a “terrorist supporting” country, and You are not listed on any U.S. government list of prohibited or restricted parties.

Severability and Waiver

If any provision of these Terms is held to be unenforceable or invalid, that provision will be interpreted to accomplish its objectives to the greatest extent possible, and the remaining provisions will remain in full force and effect.

No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

Translation Interpretation

If these Terms have been translated, the original English text shall prevail in the case of a dispute.

Changes to These Terms

We may update these Terms at any time. Updated Terms will be posted on equilibriumra.com with a revised “Last updated” date. Continued use of the Service constitutes acceptance of the updated Terms.
